1. Welcome
1.1 Friendly Share is a platform that allows users to purchase group subscriptions to various services cheaper. The organisation of payments takes place through our website friendlyshare.com.ua.
2. Important warnings about sharing online services
2.1 The Friendly Share team will ask you to confirm that you have read and comply with the Terms of Use applicable to the online service you wish to use.
2.2 You are responsible for complying with the applicable Terms of Use. We will not be liable to you for any loss you may suffer if you are blocked from accessing any online service because you have not complied with the Terms of Use or have used the platform in a way that may break the Terms of Use.
2.3 The Platform may immediately suspend or terminate your access if we suspect that you are using the online service in a way that violates the terms of this service.
3. Relationship with the platform
3.1 The Terms of Use document sets out the rules for your relationship with us. It is important that you read and understand the Terms of Use before you start using the Friendly Share platform.
3.2 By using and accessing the Friendly Share platform, you agree to these Terms of Use. If you do not agree to these Terms of Use, please do not use the Friendly Share platform.
4. Personal information
4.1 Your privacy is important to us. Please read our Privacy Policy to understand how we collect, use and share information about you.
5. Access to the Friendly Share platform
5.1 To access the Friendly Share platform, you will need to create an account. To do this, you will need to enter your email address and create a password for the account. We recommend you to use «strong» passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) for your Account.
5.2 You must be at least 18 years old and be able to enter into a Public Offer to use the Friendly Share Platform in your country of residence.
6. Right to use the Friendly Share platform
6.1 The materials and content included in Friendly Share are owned exclusively by the platform or its trusted licensors. You are authorised to use these materials and content only in accordance with these Terms of Use.
6.2 Your right to use the Friendly Share platform is only yours. You cannot make your account available for other users.
6.3 You agree to:
6.3.1 not to copy any part of the Friendly Share platform;
6.3.2 not to sell or provide any part of the Friendly Share platform to anyone else;
6.3.3 not attempt to modify any part of the Friendly Share platform in any way;
6.3.4 not to search for or access code for any part of the Friendly Share platform that we have not published for public use.
6.4 You agree that all confidential information, copyrights and other intellectual property rights in Friendly Share belong only to the platform or the people who have licensed these rights to the platform.
6.5 You agree that you do not have any rights to any part of the Friendly Share Platform other than the right to use it in accordance with these Terms of Use.
7. Payment system
7.1 By continuing to use the Friendly Share platform, you are obligated to comply with the Liqpay service agreement. As a condition to using the Liqpay payment processing services, you agree to provide correct and complete information about you, allow the use of that information, and allow the use of transaction information.
8. Fees and charges
8.1 When you complete the action of activating a subscription, the platform will ask you to provide valid, current and complete credit or debit card details. By purchasing a subscription, you allow the platform to charge your credit or debit card the appropriate amount, and you confirm that the details you have provided are correct and complete and that you will use the chosen payment method.
8.2 You must keep your payment details in your personal account up to date and, if necessary, update them in time.
9. Refund
9.1 The applicability and legality of the right to refund is left to the judgement of the Friendly Share platform based on the available information.
9.2 Refunds are made by crediting the amount to the bank card from which the payment was made.
10. Your content
10.1 You confirm that any images, text or information you upload to the Friendly Share platform, including any public comments, will comply with the Terms of Use.
10.2 We do not claim ownership of your User Content. Instead, you grant us a worldwide, non-exclusive, royalty-free, perpetual licence to use, copy, reproduce, distribute, adapt, reformat, modify, publish, translate, licence and otherwise make available to the User Content anywhere and in any form for the purposes of providing the Friendly Share Service (including providing the service to users to whom you give access to any User Content the ability to view and use your User Content).
10.3 You must ensure that you can grant us the above licence for any third party content that you include in your User Content.
10.4 We value the opinions of our users and are always interested in learning how we can improve the Friendly Share platform. By submitting your feedback, you agree that you waive any rights to it, granting us permission to use your feedback and provide access to other users without restriction and without any compensation.
10.5 Friendly Share's right to use your User Content does not affect your privacy rights. Please read our Privacy Policy, which contains information about how we use your personal information.
11. Acceptable Use Policy
11.1 In addition to the other requirements of these Terms of Use, this section describes the specific rules that apply to your use of the Friendly Share Platform.
11.2 When using Friendly Share services, it is forbidden to:
11.2.1 bypass, disable or otherwise interfere with any security-related features of the platform;
11.2.2 violate, attempt to violate or contribute to the violation of any of the Terms of Use;
11.2.3 use the Friendly Share Platform if we have suspended or banned your use of the Friendly Share Platform;
11.2.4 promote or advertise any goods or services on the Friendly Share platform;
11.2.5 Send any unrequested marketing messages through the Friendly Share platform;
11.2.6 modify, interfere with, intercept, disrupt or hack the Friendly Share platform;
11.2.7 improperly use the Friendly Share Platform by knowingly introducing viruses, trojans, worms or other material that may harm the Friendly Share Platform or any user of the Friendly Share Platform;
11.2.8 collect any Friendly Share platform data other than in accordance with these Terms of Use;
11.2.9 submit or post any User Content that you do not own or have no right to use, or otherwise violate the copyrights, trademarks or other rights of third parties;
11.2.10 to use any automated system to access the Friendly Share platform in such a way that the system itself sends more request messages to the Friendly Share platform than a person could reasonably send in the same period of time.
11.3 Failure to comply with the Terms of Use constitutes a serious breach and may result in all or any of the following actions (with or without notice) being taken by the Friendly Share Platform:
11.3.1 immediate, temporary or permanent cancellation of your right to use the Friendly Share Platform;
11.3.2 to issue you a warning.
11.4 The list of options provided in section 11.3 is incomplete and the platform may take any other action it considers appropriate.
12. Notification and removal policy
12.1 If any content on the Friendly Share platform violates your rights, you can contact technical support by sending us a notification. Notification of violation should be sent by email to support@friendlyshare.com.ua, to the Telegram account @friendlyshare, or to technical support in your personal account. Please provide the following information in the notice of violation:
12.1.1 Your name and contact details;
12.1.2 a statement explaining in sufficient detail why you believe the content available through the Friendly Share platform violates your rights or does not comply with our Terms of Use;
12.1.3 link or other means of identifying problematic content.
12.2 The Platform will take the action it considers appropriate, depending on the nature of the breach, and will respond to you within 24 hours about the action contemplated.
13. The end of our relationship
13.1 If at any time you realise that you cannot agree to these Terms of Use or any changes made to the Friendly Share Platform Terms of Use, you must immediately stop using the services provided by Friendly Share.
13.2 It is your responsibility to notify Friendly Share Platform technical support if you wish to close your account by contacting us via e-mail at support@friendlyshare.com.ua, in the Telegram account @friendlyshare, or via the technical support chat in your personal account, then we can stop your use of the Friendly Share Platform.
13.3 Technical Support can immediately terminate your use of the Friendly Share Platform if you violate the Terms of Use, as well as any other important terms or conditions that are set out for accessing and using the Friendly Share Platform.
13.4 Technical support may also withdraw Friendly Share platform services, following prior notice.
14. The platform's responsibility to you
14.1 While we do our best to ensure that the Friendly Share Platform features meet the required standard, some features may depend on networks and connections that are beyond our control. Some of the information provided to you on the Friendly Share Platform may also contain content owned by third parties. As the Friendly Share Platform does not own or produce third party content, it cannot accept any responsibility for it.
14.2 The Friendly Share Platform is also not responsible to you for the performance or content available on any online service you access or for any problems you encounter in accessing the online service, including as a result of the following:
14.2.1 anything done by you or another user (such as non-payment of subscription fees or violation of the Sharing Policy);
14.2.2 unavailability of the online service;
14.3 Due to technology and the nature of the Internet, Friendly Share services are provided on an "as available" and "as is" basis. This means that we cannot promise that your use of the Friendly Share platform will be uninterrupted, without delay, error-free or meet your expectations, we make no commitment to the performance or availability of the Friendly Share platform in these Terms of Use, and exclude any obligations that may be implied by law.
14.4 In the event of a claim arising from the provision of the Friendly Share services, the platform's responsibility to you will never exceed the Administration Fees you have paid to the platform in the 12 months prior to the claim arising, and in the event that you have not paid any money, the platform will have no responsibility to you.
14.5 The Friendly Share Platform will also never be responsible for any loss or damage that cannot reasonably be foreseen or that is caused by your failure to comply with these Terms of Use.
15. Dispute Resolution
15.1 If you have a dispute related to the Friendly Share platform, you can contact us by e-mail at support@friendlyshare.com.ua, in the Telegram account @friendlyshare, or via the technical support chat in your personal account, try to resolve the dispute with us in an informal way.
15.2 In the unlikely case that you and the Friendly Share platform are unable to resolve the dispute informally, we will undertake to discuss and agree with you the most effective way of resolving the dispute.
16. Changes to the Friendly Share platform
16.1 Our experts are constantly updating and improving the Friendly Share platform to try and find ways to provide you with new features and services. Improvements and updates are also made on an ongoing basis to reflect changing technology, tastes, behaviours and how people use the internet and Friendly Share services.
16.2 Changes to the Friendly Share Platform may require the Friendly Share Platform to update, reset, stop offering and/or support certain parts of the Friendly Share Platform or features associated with the Friendly Share Platform. These changes to the Friendly Share Platform may affect your previous activities, certain features you use, your User Content and any other information you submit to the Friendly Share Platform. Any changes to the Friendly Share services may result in the removal or resetting of certain items.
16.3 You agree that a key feature of the Friendly Share platform is that changes to the platform will occur over time and this is an important basis through which we provide you with access to the Friendly Share platform. Once we have made changes to the Friendly Share platform, your continued use of the platform will mean that you have accepted any changes. However, you can always refuse to use the Friendly Share services.
17. Changes in documents
17.1 The Friendly Share Platform may revise these Terms of Use from time to time, but the most current version will always be available on this page.
17.2 Changes are usually caused by the addition of new features on the Friendly Share platform, changes in legislation or when we need to clarify our position on an issue.
17.3 The platform generally tries to warn users before new terms and conditions take effect. However, sometimes changes need to be made immediately and, if this happens, the Friendly Share platform will not notify you.
18. Documents relating to your relationship with us
18.1 The current version of the Terms of Use contains only the terms and conditions applicable to your relationship with us.
18.2 We intend to rely on these Terms of Use as the written terms of our agreement with you to provide Friendly Share services. If part of the Terms of Use cannot be enforced, the remainder of the Terms of Use will continue to apply to your relationship with the platform.
18.3 In the case that you do not comply with these Terms of Use and the Friendly Share platform does not take any action immediately, this does not mean that the platform has given up any rights that are attached to it. Actions of this nature may be taken at a later date.
