1. Welcome
1.1 Friendly Share is a platform that allows users to purchase group subscriptions to various services at a lower price. Payments are organized through our website friendlyshare.com.ua.
2. Important warnings about sharing access to online services
2.1 The Friendly Share team will ask you to confirm that you have read and agree to the Terms of Use applicable to the online service you wish to use.
2.2 You are responsible for complying with the applicable Terms of Use. We will not be liable to you for any loss you may suffer if you are blocked from accessing any online service because you have failed to comply with the Terms of Use or have used the platform in a manner that may violate the Terms of Use.
2.3 The platform may immediately suspend or terminate your access if we suspect that you are using the online service in violation of the terms of this service.
3. Relationship with the platform
3.1 The Terms of Use document defines the rules governing your relationship with us. It is important that you read and understand the terms of use before you start using the Friendly Share platform.
3.2 By using and accessing the Friendly Share platform, you agree to these Terms of Use. If you do not agree to these Terms of Use, please do not use the Friendly Share platform.
4. Personal information
4.1 Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and share information about you.
5. Information and marketing communications
5.1 By registering on the Friendly Share platform, the User agrees to receive informational and marketing messages, including messages about new service features, functionality updates, and personalized offers (upsells).
5.2 Such notifications may be sent via email or other communication channels specified by the User during registration or use of the platform.
5.3 The User has the right to opt out of receiving marketing communications at any time by using the unsubscribe feature available in the relevant communications.
5.4 Opting out of marketing communications does not affect the receipt of service or technical communications necessary for the use of the platform.
5.5 The Friendly Share platform may use information about the User's interaction with the service (including usage history, subscriptions, actions in the Personal Account, and other technical data) for the purpose of generating personalized offers, recommendations, and marketing messages.
6. Access to the Friendly Share platform
6.1 To access the Friendly Share platform, you will need to create an account. To do this, you will need to enter your email address and create a password for your account. We recommend that you use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) for your account.
6.2 You must be at least 18 years old and able to enter into a Public Offer for the use of the Friendly Share platform in your country of residence.
7. Right to use the Friendly Share platform
7.1 The materials and content included in Friendly Share belong exclusively to the platform or its trusted licensors. You are granted permission to use these materials and content only in accordance with these Terms of Use.
7.2 Your right to use the Friendly Share platform belongs solely to you. You may not transfer your account to other persons for use.
7.3 You agree:
7.3.1 not to copy any part of the Friendly Share platform;
7.3.2 not to sell or provide any part of the Friendly Share platform to anyone else;
7.3.3 not to attempt to modify any part of the Friendly Share platform in any way;
7.3.4 not to search for or access the code of any part of the Friendly Share platform that we have not published for general use.
7.4 You agree that all confidential information, copyrights, and other intellectual property rights of Friendly Share belong solely to the platform or to the people who have transferred these rights to the platform under license.
7.5 You agree that you have no rights to any part of the Friendly Share platform other than the right to use it in accordance with these Terms of Use.
8. Payment system
8.1 Payments are processed by the payment provider LiqPay. The Friendly Share platform does not store Users' full payment details (including full bank card numbers or CVV/CVC codes). The platform may only store limited technical data provided by the payment provider, such as a partially masked card number, payment system type (Visa, Mastercard, etc.), and other technical information necessary for payment accounting and user support.
8.2 By continuing to use the Friendly Share platform, you agree to the terms of use of the payment provider LiqPay, which processes payments. To use the payment processing services of such payment providers, you agree to provide accurate and complete information and allow the use of transaction information in accordance with the payment provider's rules.
8.3 The Friendly Share platform does not directly debit funds from Users' payment instruments. All payments, including automatic debits within the subscription, are made by the payment provider LiqPay in accordance with the consent provided by the User when subscribing.
9. Fees and payment
9.1 When subscribing, the User agrees to make the current payment and regular automatic payments on a subscription basis in accordance with the terms of the selected tariff plan until the subscription is canceled.
9.2 Subscription registration is considered to be the initiation of a regular payment order by the User. The Friendly Share platform acts as the recipient of the payment and is not the technical executor of the funds withdrawal.
9.3 The User is responsible for monitoring the status of their subscription, ensuring that their payment details are up to date, and canceling automatic payments in a timely manner if they stop using the services.
9.4 You must monitor the validity of your payment details in your Personal Account and update them in a timely manner if necessary.
10. Refunds
10.1 The applicability and legality of the right to reimbursement for services remain at the discretion of the Friendly Share platform based on the available information.
10.2 Refunds are made by crediting the amount to the bank card from which the payment was made.
10.3 A refund request may be rejected if the User has not contacted customer support with a refund request or a report of technical issues within a reasonable time after being granted access to the service, regardless of the actual use of the subscription or the “Access” section.
10.4 Before initiating a chargeback procedure or opening a dispute through the issuing bank, payment system, or other financial institution, the User undertakes to first contact the Friendly Share platform technical support service for the purpose of preliminary dispute resolution.
10.4.1 Contacting customer support is done through any of the platform's official communication channels:
— technical support chat on the website;
— official Telegram support account;
— support service email.
10.4.2 Initiating a chargeback procedure without first contacting customer support may be considered a violation of the established dispute resolution procedure.
10.4.3 In the event of a chargeback being opened without complying with the specified procedure, the Friendly Share platform reserves the right to:
— reject the relevant claims;
— provide the bank, payment system, or financial institutions with confirmation that the User has not contacted support;
— use this data as proof that the User has not contacted support for the purpose of preliminary dispute resolution.
10.4.4 The User agrees that contacting customer support is a mandatory step in resolving any claims regarding payments or services provided.
11. Your content
11.1 You confirm that any images, text, or information you upload to the Friendly Share platform, including any public comments, will comply with the Terms of Use.
11.2 We do not claim ownership of your User Content. Instead, you grant us a worldwide, non-exclusive, royalty-free, and perpetual license to use, copy, reproduce, distribute, adapt, reformat, modify, publish, translate, license, and otherwise make available your User Content anywhere and in any form for the purpose of providing the Friendly Share Service (including providing users to whom you grant access to any User Content with the ability to view and use your User Content).
11.3 You must ensure that you can grant us the above license for any content that belongs to a third party and that you include in your User Content.
11.4 We value our users' opinions and are always interested in learning how we can improve the Friendly Share platform. By providing your feedback, you agree to waive any rights to it, granting us permission to use your feedback and make it available to other users without restriction and without compensation.
11.5 Friendly Share's right to use your User Content does not affect your privacy rights in any way. Please review our Privacy Policy for information on how we use your personal information.
12. Acceptable Use Policy
12.1 In addition to the other requirements of these Terms of Use, this section describes specific rules that apply to your use of the Friendly Share platform.
12.2 When using Friendly Share services, it is prohibited to:
12.2.1 circumvent, disable, or otherwise interfere with any security-related features of the platform;
12.2.2 violate, attempt to violate, or facilitate the violation of any Terms of Use;
12.2.3 use the Friendly Share platform if we have suspended or prohibited your use of it;
12.2.4 promote or advertise any goods or services on the Friendly Share platform;
12.2.5 send any unsolicited marketing messages via the Friendly Share platform;
12.2.6 modify, interfere with, intercept, disrupt, or hack the Friendly Share platform;
12.2.7 unlawfully use the Friendly Share platform by knowingly introducing viruses, Trojan horses, worms, or other materials that may harm the Friendly Share platform or any user of the Friendly Share platform;
12.2.8 collect any data from the Friendly Share platform, except as permitted by these Terms of Use;
12.2.9 send or post any User Content that you do not own or have the right to use, or otherwise infringe the copyrights, trademarks, or other rights of third parties;
12.2.10 use any automated system to access the Friendly Share platform in such a way that the system itself sends more messages with requests to the Friendly Share platform than a human could reasonably send in the same period of time.
12.3 Failure to comply with the Terms of Use constitutes a serious violation and may result in Friendly Share taking all or any of the following actions (with or without notice):
12.3.1 immediate, temporary, or permanent revocation of your right to use the Friendly Share platform;
12.3.2 issuing you a warning.
12.4 The list of options presented in section 12.3 is not exhaustive, and the platform may take any other actions it deems appropriate.
13. The platform's right to suspend or terminate the provision of services
13.1 The Friendly Share platform reserves the right to temporarily suspend or terminate the provision of services to the User in the following cases:
13.1.1 initiation by the User of a chargeback procedure or opening of a dispute through a bank or payment system;
13.1.2 submission of a refund request or occurrence of a payment dispute requiring verification;
13.1.3 the occurrence of technical problems or restrictions that are not directly dependent on the Friendly Share platform, including failures of third-party services, payment systems, or online services to which access is provided;
13.1.4 performing maintenance, updates, upgrades, or other work necessary to ensure the stable operation of the platform.
13.2 Suspension or termination of services in the above cases shall not be considered a breach of the platform's obligations.
14. Notification and removal policy
14.1 If any content on the Friendly Share platform violates your rights, you can contact technical support by sending us a message. Reports of violations should be sent by email to help@friendlyshare.com.ua, to the Telegram account @friendlyshare, or to technical support in your Personal Account. Please include the following information in your violation report:
14.1.1 Your name and contact details;
14.1.2 a statement with a sufficiently detailed explanation of why you believe that the content available through the Friendly Share platform infringes your rights or violates our Terms of Use;
14.1.3 links or other means of identifying problematic content.
14.2 The platform will take the action it deems appropriate, depending on the nature of the violation, and will respond to you within 24 hours regarding the action it intends to take.
15. Ending our relationship
15.1 If at any time you realize that you cannot agree to these Terms of Use or any changes made to the Friendly Share Terms of Use, you must immediately stop using the services provided by Friendly Share.
15.2 You must notify Friendly Share technical support if you wish to close your account by contacting us at help@friendlyshare.com.ua, via Telegram account @friendlyshare, or via technical support chat in your Personal Account, so that we can terminate your use of the Friendly Share platform.
15.3 Technical support may immediately terminate your use of the Friendly Share platform if you violate the Terms of Use, as well as any other important rules or conditions established for accessing and using the Friendly Share platform.
15.4 Technical support may also revoke the provision of Friendly Share platform services after prior notification.
16. The platform's responsibility to you
16.1 The service is considered to be provided properly from the moment the "Access" tab is opened for the User in their Personal Account, which contains the data for connecting to the subscription or accessing the account.
16.2 The fact of opening the “Access” tab or providing the User with the ability to view connection data confirms the fulfillment of obligations by the Friendly Share platform to provide the service.
16.3 Failure to use the “Access” tab, failure to log into the account, failure to connect to the subscription, or any other inactivity on the part of the User after access has been granted shall not constitute grounds for recognizing the service as not provided or improperly performed.
16.4 In the event of technical problems that prevent connection to the subscription, the User is obliged to notify the technical support service through official communication channels as soon as possible.
16.5 Although we do our best to ensure that the Friendly Share platform functions meet the required standard, some functions may depend on networks and connections that are beyond our control. Some of the information provided to you on the Friendly Share platform may also contain content belonging to third parties. Since the Friendly Share platform does not own or produce third-party content, it cannot be held responsible for it.
16.6 Friendly Share is also not liable to you for the performance or content available on any online service you access, or for any problems you encounter while accessing an online service, including but not limited to the following:
16.6.1 anything done by you or another user (e.g., non-payment of subscription fees or violation of the Rules of Shared Access);
16.6.2 unavailability of the online service;
16.7 Due to the technology and nature of the Internet, Friendly Share services are provided on an “as available” and “as is” basis. This means that we cannot promise that your use of the Friendly Share platform will be uninterrupted, without delays, error-free, or will meet your expectations. We do not make any commitments regarding the performance or availability of the Friendly Share platform in these Terms of Use, and we exclude any obligations that may be implied by law.
16.8 In the event of a claim arising in connection with the provision of Friendly Share services, the platform's liability to you will never exceed the administrative fees you paid to the platform during the 12 months prior to the claim, and if you have not paid any money, the platform will not be liable to you in any way.
16.9 Friendly Share will also never be liable for any loss or damage that is not reasonably foreseeable or that is caused by your failure to comply with these Terms of Use.
17. Dispute resolution
17.1 If you have a dispute related to the Friendly Share platform, you can contact us at help@friendlyshare.com.ua, on Telegram @friendlyshare, or via the technical support chat in your Personal Account. Please try to resolve the dispute with us informally.
17.2 In the unlikely event that you and Friendly Share are unable to resolve the dispute informally, we will discuss and agree with you on the most effective way to resolve the dispute.
18. Changes on the Friendly Share platform
18.1 Our specialists are constantly updating and improving the Friendly Share platform in order to find ways to provide you with new features and services. Improvements and updates are also made on an ongoing basis to reflect changing technologies, tastes, behaviors, and how people use the Internet and Friendly Share services.
18.2 In order to make changes to the Friendly Share platform, it may be necessary to update, reset, discontinue offering and/or supporting a specific part of the Friendly Share platform or features related to the Friendly Share platform. These changes to the Friendly Share platform may affect your previous actions, certain features you use, your User Content, and any other information you submit to the Friendly Share platform. Any changes to Friendly Share services may result in the deletion or reset of certain elements.
18.3 You agree that a key feature of the Friendly Share platform is that changes to the platform will occur over time, and this is an important basis on which we provide you with access to the Friendly Share platform. Once we have made changes to the Friendly Share platform, your continued use of the platform will mean that you have accepted any changes. However, you can always opt out of using Friendly Share's services.
19. Changes in documents
19.1 Friendly Share may revise these Terms of Use from time to time, but the latest version will always be available on this page.
19.2 Changes usually occur due to the addition of new features on the Friendly Share platform, changes in legislation, or when we need to clarify our position on any issue.
19.3 The platform usually tries to notify users before new terms and conditions come into effect. However, sometimes changes need to be made immediately, and if this happens, the Friendly Share platform will not notify you.
20. Documents relating to your relationship with us
20.1 The current version of the Terms of Use contains only the terms and conditions applicable to your relationship with us.
20.2 We intend to rely on these Terms of Use as the written terms of our agreement with you for the provision of Friendly Share services. If any part of the Terms of Use cannot be enforced, the remaining part of the Terms of Use will continue to apply to your relationship with the platform.
20.3 If you do not comply with these Terms of Use and the Friendly Share platform does not take immediate action, this does not mean that the platform has waived any of its rights. Actions of this nature may be taken at a later date.
